1. Acceptance of Terms

By accessing or using any service, website, application, or platform operated by Rapid Cap Group (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to all of these Terms, you must discontinue use of our services immediately.

These Terms constitute a legally binding agreement between you and Rapid Cap Group. They govern your access to and use of our website at rapidcapgroup.com and all associated services, tools, and communications.

2. Services Description

Rapid Cap Group is a business financing marketplace and advisory service. We connect eligible business owners with funding opportunities from our network of third-party lending and financing partners. Our services include, but are not limited to:

• Facilitating introductions between businesses and lending partners
• Reviewing and analyzing business financing inquiries and applications
• Presenting financing offers and options on behalf of our partner network
• Providing general information and guidance related to business financing
• Processing and transmitting application data to qualifying lenders

Rapid Cap Group does not itself provide loans, lines of credit, or any form of direct financing. All funding products are offered, underwritten, and administered by independent third-party lending partners. Terms, rates, approval requirements, and repayment structures are set entirely by the respective lender.

No Guarantee of Approval

Submission of an inquiry or application through our platform does not guarantee approval for any funding product. Approval decisions are made exclusively by our lending partners and are subject to their individual underwriting criteria, credit policies, and applicable laws and regulations.

3. Eligibility

To use Rapid Cap Group services, you must meet the following requirements:

• Be at least 18 years of age
• Be a legal resident or authorized representative of a business operating within the United States
• Have the legal authority to bind the business entity you represent to financing agreements
• Provide accurate, current, and complete information in all applications and inquiries
• Not be subject to any legal prohibition that would prevent you from entering into financial agreements

Rapid Cap Group reserves the right to deny access to its services to any individual or entity at our sole discretion, including where we have reason to believe the information provided is inaccurate, fraudulent, or misleading.

4. Acceptable Use

You agree to use Rapid Cap Group services solely for lawful business financing purposes. You expressly agree not to:

• Submit false, misleading, or fraudulent information in any form or application
• Impersonate any individual, business, or entity
• Use our services in connection with any unlawful business activity
• Attempt to reverse engineer, copy, or reproduce any portion of our platform or proprietary processes
• Interfere with or disrupt the operation of our website, servers, or network infrastructure
• Use automated tools, bots, or scrapers to access or collect data from our platform
• Transmit any harmful code, malware, or disruptive software
• Circumvent any security measures or access controls on our platform

Any violation of these acceptable use requirements may result in immediate suspension or termination of your access to our services, and may be reported to appropriate law enforcement authorities.

5. Disclaimers

Rapid Cap Group provides its services on an “as is” and “as available” basis. We make no representations or warranties of any kind, express or implied, regarding the operation of our platform or the information, content, or materials made available through it.

Third-Party Lender Disclaimer

Rapid Cap Group does not control and is not responsible for the actions, decisions, products, services, terms, or policies of any third-party lending partner. Any dispute arising from a funding arrangement should be addressed directly with the applicable lender.

Interest rates, repayment terms, fees, and other financing conditions are set by individual lenders and may vary significantly. All financing terms should be carefully reviewed before accepting any offer.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Rapid Cap Group and its officers, directors, employees, agents, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising from or in connection with your use of our services, including but not limited to:

• Loss of revenue, profits, or business opportunities
• Loss of data or confidential information
• Business interruption or financial loss
• Any damages arising from decisions made based on information obtained through our platform
• Any financing arrangement entered into with a third-party lender

In no event shall our total cumulative liability to you exceed the greater of (a) the total fees paid by you to Rapid Cap Group in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100.00 USD).

7. Privacy & Data

Your use of Rapid Cap Group services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection, use, and sharing of your information as described in our Privacy Policy.

By submitting an inquiry or application, you authorize Rapid Cap Group to share the information you provide with our network of lending partners for the purpose of evaluating your eligibility for financing products. This may involve a soft credit inquiry that will not affect your credit score, unless a lender requires a hard inquiry to finalize an offer.

8. Intellectual Property

All content, design, graphics, logos, text, software, data, and other materials on the Rapid Cap Group platform are the exclusive property of Rapid Cap Group or its licensors and are protected by applicable copyright, trademark, and intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any portion of our platform or its content without our express prior written consent. Unauthorized use of our intellectual property may result in legal action.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of our services shall be resolved exclusively in the state or federal courts located in Travis County, Texas.

You agree to waive any right to a jury trial in connection with any claim or dispute arising under these Terms. You also agree to bring any claim on an individual basis only, and not as a plaintiff or class member in any purported class action proceeding.

10. Changes to These Terms

Rapid Cap Group reserves the right to modify these Terms at any time. When we make material changes, we will update the “Last Updated” date at the top of this page. Your continued use of our services following the posting of revised Terms constitutes your acceptance of those changes.

We encourage you to review these Terms periodically to stay informed of any updates. If you do not agree to the revised Terms, you must stop using our services immediately.
